Terms of Service

1. The service
Corpgate, Inc. ("Corpgate") provides registered agent service for corporations and LLCs in the State of California. As your registered agent, we are designated to receive service of process (such as a lawsuit or summons) and official documents from the state regarding your entity, at our California street address, during normal business hours.
2. Account terms
- Email is our primary means of communicating with you, using the email address you provide.
- The mailing address(es) you provide serve as our backup means of communication.
- Each entity using the service requires its own separate order.
3. Account activation
- The person who signs up for the service is the account holder — the contracting party under these terms and the person authorized to use the account.
- If you sign up on behalf of your employer, you confirm that you have your employer's authority to accept these terms for them.
- If you no longer want the service, it is your responsibility to contact Corpgate to cancel it.
4. Document delivery
If a document arrives for your entity, we scan it and email it to the address on file for your account promptly. Hard copies are held briefly and then forwarded to your mailing address on file.
5. Delivery disclaimer
While we make every reasonable effort to deliver documents promptly, Corpgate does not guarantee delivery or delivery within any particular time frame. Documents can be delayed, misdirected, or lost by postal carriers, email providers, spam filters, or other factors outside our control. To the maximum extent permitted by law, Corpgate is not responsible or liable for any document that is delayed, lost, undelivered, or unread, or for any consequence of such delay or non-delivery — including, without limitation, default judgments, missed deadlines, penalties, or state actions against your entity. It is your responsibility to monitor the email and mailing addresses on file and to keep them current.
6. Your responsibilities
You must keep a current, working email address and mailing address on file with us at all times. Document delivery is made to the contact information you provide; Corpgate is not responsible for missed documents caused by outdated contact information. You are responsible for filing the forms that designate Corpgate as your registered agent with the California Secretary of State, and for any state filing fees.
7. Fees and renewal
The annual plan renews automatically each year at the then-current annual rate, charged to your payment method on file. The 3-year plan is a single prepaid payment covering three years of service; we will contact you by email before the prepaid term ends. See our Refund Policy.
8. Cancellation and termination
- You may cancel your account at any time by emailing support@corpgate.com.
- When service ends — whether you cancel or we terminate — Corpgate stops providing the service. If you did not contact support@corpgate.com before a recurring payment came due, any refund or pro-rating of that payment is at Corpgate's discretion (see our Refund Policy).
- If a renewal payment fails and is not resolved after our automated retries and email notices, or if you cancel service, Corpgate may resign as your entity's registered agent by filing the appropriate notice with the California Secretary of State. Maintaining a registered agent is your entity's legal obligation; failure to maintain one may result in negative actions by the state against your entity.
9. Corpgate, Inc. rights
- We may discontinue the service for any reason, with reasonable notice to you.
- We may decline to provide service to anyone, at our discretion.
10. Support and communication
All correspondence with Corpgate is by email; we do not provide telephone support. Support is available to paying clients at support@corpgate.com — questions about these terms go there too.
11. Not legal advice
Corpgate is not a law firm and does not provide legal advice. Nothing on this site or in our communications is legal advice. If you need legal advice, consult a licensed attorney.
12. Limitation of liability
To the maximum extent permitted by law, Corpgate's total liability arising out of or relating to the service is limited to the amount you paid for the current service term. Corpgate is not liable for indirect, incidental, or consequential damages, including damages arising from delayed, lost, or undelivered documents (see Section 5) or from inaccurate contact information you provided.
13. Governing law
These terms are governed by the laws of the State of California.
14. Changes
We may update these terms from time to time. The current version is always at this page, with the date above. Continued use of the service after changes constitutes acceptance.
